Microsoft and OpenAI have signed a new agreement redefining their partnership as OpenAI transitions to a Public Benefit Corporation (PBC). Microsoft’s investment in the newly structured OpenAI Group PBC is valued at approximately $135 billion—representing a 27% stake on an as-converted diluted basis. Key exclusivity terms, such as Microsoft's rights to OpenAI models via Azure, remain until Artificial General Intelligence (AGI) is verified by an independent panel.

The deal also loosens restrictions: OpenAI may now co-develop products with third parties, and Microsoft can independently pursue AGI development.
