To safeguard its research mission, the nonprofit parent will retain majority control while converting the for-profit subsidiary into a Public Benefit Corporation—a legal shift expected to finalize later this year.
OpenAI says a portion of the new capital will flow into “Stargate,” a multi-phase AI-infrastructure initiative budgeted at about $500 billion over its lifetime; the first U.S. build-out phase is funded at roughly $100 billion.
